What the shape of these facilities tells a reader

  • Software companies are drawing committed revolvers from one or two large banks, with JPMorgan on three of the four October facilities above. These are not asset-backed loans; they are priced against the borrower's recurring revenue and consolidated EBITDA.
  • A bankruptcy-remote SPV structure is being used for a warehouse facility at Navan (filing), the shape consumer-finance lenders use when the underlying asset is receivables rather than the parent's balance sheet.
  • A platform lender is lending in small amounts against its own payment flows: Stripe Capital made a $250,000 loan to RoboCent secured by RoboCent's Stripe-processed receivables (filing). The $34,250 fixed fee works out to 13.7 percent of principal.
  • Pricing on the one disclosed rate is modest: SOFR + 1.25% at Pinterest (filing) sits in the range large investment-grade and near-investment-grade borrowers see on revolvers.

Context around these filings

The Federal Reserve's H.8 release for the week ending 14 October 2026 showed commercial and industrial loans at banks at $2,992.6 billion, up $4.8 billion on the week and $300.2 billion year over year (H.8 release, Federal Reserve). The direction of C&I lending at the system level has been up since mid-year.

What a smaller borrower learns from these

Most of these facilities are too large to apply as a template to a 25-to-75-person services company. What travels across sizes is the shape of each facility: committed versus uncommitted, revolver versus term, who the agent is, what the facility is secured by, and the pricing grid. See loan or recap for a 25 to 75 person company for the questions a smaller borrower is asked.

Not in this month's set

  • A rate on Tenable, Navan, Cognizant and Asure. None of the four filings disclosed the margin or maturity in the text available at 29 October 2026. The margins are set out in the full credit agreements, usually filed as exhibits in the next quarterly report.
  • A list of other lenders in each syndicate. The 8-Ks name the agent; the lender list usually appears in the credit agreement itself.
  • Receivables-backed small-business facilities below Stripe Capital's size. These rarely surface as 8-Ks because the borrowers do not file them. The intel feed carries them when they do.

Questions

Why so many October facilities with JPMorgan? JPMorgan is a large agent on revolvers for software and services companies. The pattern is consistent with how the market has set up these facilities for several years.

Should I read a Stripe Capital 13.7% fixed-fee loan as expensive? Compare it to the alternative at the same borrower's size and credit. A $250,000 loan secured by card-processed receivables with no personal guarantee, delivered through a payment platform, is a different product from a bank term loan.

What does a committed revolver mean? The lender has agreed, up to the facility size, to lend when the borrower draws, subject to the agreement's conditions and the commitment fee on the unused portion. An uncommitted line can be withdrawn.

Where will next month's note go? The November edition will track the same categories: committed revolvers, warehouse facilities, platform lender loans, small-business receivables lines, and any new form of credit that appears in filings. Each term will carry its filing link.
