Who will look at this one
You need to know who has capital, who has bought companies like this, and whether this one fits what they're looking for.
They are buying the company that does the work.
Priced like other services companies on cash earnings.
- Would look Roll-ups that buy the delivery body. A unit of work they can repeat, plus density of add-ons. They pay for the company that produces the result.
- Services PE and independent sponsors on analog cash. EBITDA they can lever. A sale to this class is analog cash. They underwrite the book.
What still dies after the CIM
- Can this company take a buyer. Assignability, concentration, a unit of work, distribution that is real. Hours billed is a fact to match. Some buyers want as-is.
- Distribution. No pipeline and no second act is a revenue hole. That work is separate from the sale.
- If they still bill hours, a software buyer is a different look. A software acquirer underwrites workflow and data. Mixing that list with analog cash is how the week is wasted.
