New Era Energy & Digital signs a $64 million private placement

New Era Energy & Digital, Inc., a Midland, Texas developer of digital infrastructure and integrated power assets, signed a securities purchase agreement on 29 October 2026 for a private investment in public equity expected to raise about $64 million in gross proceeds. The company said the placement of common stock was expected to close on 30 October 2026, subject to customary closing conditions. Equity raised at the developer is what carries a site through land, studies and equipment orders before it earns anything, so the terms of a raise like this one matter to the lenders and suppliers standing behind the project.

Tracker. The MISO interconnection queue, read on 2 November 2026, lists 1,082 active requests totaling 249,812 MW. Requests entered in the last 30 days: 1, totaling 135 MW; in the last 90 days: 205, totaling 62,814 MW. Projects under construction after signing an interconnection agreement: 128, totaling 20,285 MW. The largest active fuel types by capacity: not stated (97,558 MW), solar (47,691 MW), battery storage (40,639 MW).

New Era reported the transaction in a Form 8-K covering items 1.01, 3.02, 7.01 and 9.01, with the announcement attached as an exhibit sec.gov. The announcement states that the company entered a securities purchase agreement for a private investment in public equity expected to result in gross proceeds of approximately $64 million, and that the placement is expected to close on 30 October 2026 subject to the satisfaction of customary closing conditions. It describes New Era as a developer of next-generation digital infrastructure and integrated power assets, which puts the raise in the same part of the build-out as the queue and the pipeline notices.

Enable Mississippi River Transmission, LLC asked the Federal Energy Regulatory Commission for authorization under its blanket certificate, and the agency noticed the request on 30 October 2026 while setting an intervention and protest deadline federalregister.gov. The Department of Energy separately added helium to its Critical Material List in a notice published on 27 October 2026, and pointed readers to the assessment that forms the justification for the addition federalregister.gov.

The MISO interconnection queue read on 2 November 2026 lists 1,082 active requests totaling 249,812 MW, with 205 requests totaling 62,814 MW entered in the last 90 days and 128 projects totaling 20,285 MW under construction after signing an interconnection agreement. Read with the New Era raise and the Enable request, the queue shows where the time in this build-out sits: a developer such as New Era can raise $64 million of equity and still wait behind more than a thousand requests for the agreement that lets construction start, and a pipeline owner such as Enable has to clear a noticed request and a protest window before capacity moves. That is the change under way in the physical build-out behind compute, where the scarce item is not capital or equipment but a place in line and a signed agreement.

Watch the MISO queue for requests moving from active to under construction, since that move is the point at which a project stops waiting and starts buying. Watch the intervention and protest deadline on the Enable request for the first sign of whether the noticed capacity proceeds on schedule. Watch whether New Era's placement closed as expected on 30 October 2026, and whether other developers of digital infrastructure and power follow it with equity of their own. And watch what the Department of Energy does next with the helium addition to its Critical Material List, which the notice supports with an assessment.
