Addentax agrees to buy Double Cash Finance for 464,907 shares

Addentax Group Corp. agreed on November 3, 2026 to acquire all of the equity interests in Double Cash Finance Limited from its sole shareholder, Mr. Chan Kai Sang. The consideration is 464,907 shares of Addentax common stock, and the filing states no financing and names no lender or agent.

Deal facts. Buyer: ADDENTAX GROUP CORP., a listed company in business services. What was bought: named in the filing. Signed: November 3, 2026. Consideration: Pursuant to the Share Exchange Agreement, Yingxi will acquire 100% of the equity interests of the Target from the Seller in exchange for the issuance of 464,907 shares of common stock of the Company, par value $0.001 per share (the "Shares") to the Seller (the "Transaction"). Financing: not stated in the filing. Lender or agent: not named in the filing. Conditions: The closing of the Transaction is subject to, among other things, the filing of a Nasdaq Listing of Additional Shares Notification form and the satisfaction or waiver (to the extent permitted by applicable law) of customary closing conditions.

The shares carry a par value of $0.001 each and are issued to the Seller, Mr. Chan Kai Sang, who holds the Target's equity. The filing says the number of shares was set by arm's-length negotiation among the parties, and that Addentax's board approved the transaction on November 2, 2026. No cash component, loan or credit facility appears in the terms as reported, and no lender, agent or adviser is named behind the payment. The acquiring entity is Yingxi Industrial Chain Investment Co., Ltd, a wholly owned subsidiary of Addentax incorporated in Hong Kong, so the listed parent issues the shares while the Hong Kong subsidiary takes the equity.

Addentax does not say in the filing what it expects to gain from owning the Target, and the document sets out the mechanics of the exchange without stating a rationale. What it does disclose is the shape of the purchase: a Hong Kong subsidiary of a listed Nevada company buying a Hong Kong company from its sole shareholder, with the parent's stock as the only stated consideration. The board approved the purchase the day before signing.

For context. U.S. jobs in administrative, support and waste management services stood at 9,018.6 thousand in September 2026, according to the Bureau of Labor Statistics (Current Employment Statistics). That is down 15.3 thousand jobs from August 2026 and up 48.5 thousand jobs from September 2025.

For an owner of a services company, the instructive part is the currency. Addentax is paying with its own shares, so the cost lands on existing holders as dilution rather than as cash out of the business, and the seller takes the buyer's equity. That structure depends on having listed shares, and a private company cannot pay this way, which is how a small listed services firm adds a business without drawing on a lender or on its own reserves. The filing names no lender and no facility, which is what a purchase settled entirely in stock looks like. As software takes on more of the work customers pay services firms for, buyers that add capability this way keep their cash and their borrowing capacity, and the seller carries the risk of how the buyer's shares perform.

What comes next is completion. Closing depends on Addentax filing a Nasdaq Listing of Additional Shares Notification form and on the parties satisfying or waiving the customary closing conditions, so the shares are not issued and the equity does not move until those steps are done.

Kimberly-Clark completes acquisition of Kenvue

Kimberly-Clark bought Kenvue, a combination the buyer announced on 2 November 2026 in a company release prnewswire.com. The release did not disclose the terms of the transaction or how it was paid for.

Deal facts. Buyer: Kimberly-Clark. What was bought: Kenvue, Creating the Preeminent Global Consumer Health and Wellness Leader. Announced: 2 November 2026, in a company release. Terms: not disclosed in the release. Financing: not stated in the release.

Neither the consideration nor the financing appears in the release, so what an owner can read from it is the shape of the combination rather than its price. The release sets out the portfolio the two companies make together: leading brands across categories and geographies that the buyer describes as highly complementary.

Kimberly-Clark said the combination unites leading portfolios, including 10 iconic billion-dollar brands, across highly complementary categories and geographies, and that it draws on the company's Powering Care growth engine. The release describes the combined business as built to deliver care to consumers every day.

For an owner of a services company, the two documents sit closer together than they first appear. Kimberly-Clark is paying for a portfolio of brands, and the administrative, support and waste management firms counted in the employment series are where the order handling, back-office and facilities work behind brands of that kind is staffed. The September reading shows that count down 15.3 thousand in a month while still up 48.5 thousand on September 2025, so the level is higher than a year ago and the direction over the month is down. Neither document says software caused that; the series measures the count and the release describes a portfolio. What the pair shows about the change under way is where the two meet: buyers are paying for the brands and the customer relationships, while the administrative work that used to sit inside services contracts is the part of the delivery that is thinning. A buyer or lender weighing a services firm will ask which tasks the customer pays for and which a system now performs, because that answer decides what has to be staffed and what the contract is worth.

What to watch next is the next observation of the employment series, dated after September 2026, and whether the monthly decline continues while the year-over-year figure stays positive. On the deal itself, the release points to bringing the two portfolios together as the work that follows completion.

New Era Energy & Digital signs a $64 million private placement

New Era Energy & Digital, Inc., a Midland, Texas developer of digital infrastructure and integrated power assets, signed a securities purchase agreement on 29 October 2026 for a private investment in public equity expected to raise about $64 million in gross proceeds. The company said the placement of common stock was expected to close on 30 October 2026, subject to customary closing conditions. Equity raised at the developer is what carries a site through land, studies and equipment orders before it earns anything, so the terms of a raise like this one matter to the lenders and suppliers standing behind the project.

Tracker. The MISO interconnection queue, read on 2 November 2026, lists 1,082 active requests totaling 249,812 MW. Requests entered in the last 30 days: 1, totaling 135 MW; in the last 90 days: 205, totaling 62,814 MW. Projects under construction after signing an interconnection agreement: 128, totaling 20,285 MW. The largest active fuel types by capacity: not stated (97,558 MW), solar (47,691 MW), battery storage (40,639 MW).

New Era reported the transaction in a Form 8-K covering items 1.01, 3.02, 7.01 and 9.01, with the announcement attached as an exhibit sec.gov. The announcement states that the company entered a securities purchase agreement for a private investment in public equity expected to result in gross proceeds of approximately $64 million, and that the placement is expected to close on 30 October 2026 subject to the satisfaction of customary closing conditions. It describes New Era as a developer of next-generation digital infrastructure and integrated power assets, which puts the raise in the same part of the build-out as the queue and the pipeline notices.

Enable Mississippi River Transmission, LLC asked the Federal Energy Regulatory Commission for authorization under its blanket certificate, and the agency noticed the request on 30 October 2026 while setting an intervention and protest deadline federalregister.gov. The Department of Energy separately added helium to its Critical Material List in a notice published on 27 October 2026, and pointed readers to the assessment that forms the justification for the addition federalregister.gov.

The MISO interconnection queue read on 2 November 2026 lists 1,082 active requests totaling 249,812 MW, with 205 requests totaling 62,814 MW entered in the last 90 days and 128 projects totaling 20,285 MW under construction after signing an interconnection agreement. Read with the New Era raise and the Enable request, the queue shows where the time in this build-out sits: a developer such as New Era can raise $64 million of equity and still wait behind more than a thousand requests for the agreement that lets construction start, and a pipeline owner such as Enable has to clear a noticed request and a protest window before capacity moves. That is the change under way in the physical build-out behind compute, where the scarce item is not capital or equipment but a place in line and a signed agreement.

Watch the MISO queue for requests moving from active to under construction, since that move is the point at which a project stops waiting and starts buying. Watch the intervention and protest deadline on the Enable request for the first sign of whether the noticed capacity proceeds on schedule. Watch whether New Era's placement closed as expected on 30 October 2026, and whether other developers of digital infrastructure and power follow it with equity of their own. And watch what the Department of Energy does next with the helium addition to its Critical Material List, which the notice supports with an assessment.

Our call: U.S. bank loans to companies will exceed $2,997.0 billion in the week ending 16 December 2026

U.S. commercial banks will hold more than $2,997.0 billion in commercial and industrial loans in the week ending 16 December 2026, on our reading of the Federal Reserve Board's weekly series. We put the probability at 65%. Lenders watch this number because it is the plainest weekly measure of whether businesses are still borrowing to run and grow; owners watch it because the same balance sheet that funds a buyer's acquisition of a services company funds the working capital behind it. The series has moved $304.3 billion over a year.

The call, made 1 November 2026. Commercial and industrial loans at all U.S. commercial banks, in billions of dollars (series ID: TOTCI), will read above 2,997.0 for the observation dated 2026-12-16. Our probability: 65%. Resolution date: 2026-12-30. Resolution source: fred.stlouisfed.org.

The reading today. Commercial and industrial loans at all U.S. commercial banks stood at $2,997.0 billion in the week ending 21 October 2026, according to the Federal Reserve Board (H.8 release). That is up $5.2 billion from the week ending 14 October 2026 and up $304.3 billion from the week ending 22 October 2025.

The series counts the loans U.S. commercial banks hold to businesses for working capital, equipment and other operating needs, and it excludes loans secured by real estate; the Federal Reserve Board publishes it each week in its H.8 release, and each reading covers the week ending on a Wednesday fred.stlouisfed.org. The call would be wrong if banks tightened enough that businesses repaid faster than they drew, or if a large borrower moved to bond markets. Both would show up as a weaker reading, and neither is visible in the latest week.

How we set the odds. We counted how often the series was higher eight weeks later across the ten years through 21 October 2026: it was higher in 334 of 514 spans, or 65%. That share is the probability stated above. Over the latest 12 spans it was higher in 12.

Between now and 16 December 2026 the reading moves on ordinary draws and repayments. Lenders will watch whether businesses that drew revolving lines in October keep them out, and whether the year-on-year gap holds; owners should read the series the way they read their own borrowing base, since a firm billing for people's time draws differently from one whose software carries the work, and the aggregate blends them. Neither the Federal Reserve Board nor any bank publishes that split weekly, so the total is what a lender has to work with.

Watch the weekly H.8 readings through the resolution date of 30 December 2026, and watch how the earlier calls on the scorecard resolve against the same releases. What today's release shows about the change under way is that U.S. commercial banks are still the balance sheet services companies and their buyers draw on while software takes over more of the work those companies bill for; the Federal Reserve Board reports one total, and the rise of $304.3 billion over a year says that demand for that balance sheet has not thinned out.

Scorecard. Made 25 October 2026 on CES6054000001, above 10,843.6 by 2026-12-01, probability 84%: open, resolves 2027-02-10. Made 18 October 2026 on BUSLOANS, above 2,959.4 by 2026-12-01, probability 64%: open, resolves 2027-02-10. Made 4 October 2026 on TOTCI, above 2,952.9 by 2026-11-18, probability 65%: open, resolves 2026-12-02.
